1. Introduction and Acceptance

Welcome to Sophy Music LLC (“Sophy Music”, “we”, or “our”). These Terms of Use (“Terms”) govern your access and use of our website, services, software, tools, and any related applications (collectively, the “Platform”). By accessing or using the Platform, you (“User” or “your”) agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Platform.

2. Eligibility

By using the Platform, you represent and warrant that: (a) you are at least 18 years of age or have reached the age of majority in your jurisdiction; (b) you have the full legal capacity and authority to enter into these Terms; and (c) your use of the Platform complies with all applicable laws and regulations.

3. Services Provided

Sophy Music provides music distribution and related digital services, including but not limited to: distribution of sound recordings to Digital Service Providers (DSPs); royalty collection and reporting; metadata management; and optional services such as publishing administration, YouTube monetization, or promotional features. We reserve the right to modify, suspend, or discontinue any part of the Platform or Services at any time without notice.

4. Account Registration

To use certain features, you must register for an account. You agree to: (a) provide accurate, current, and complete information during registration; (b) maintain and promptly update your information; (c) keep your credentials confidential; and (d) accept responsibility for all activities that occur under your account. Sophy Music reserves the right to suspend or terminate accounts that violate these Terms or for any reason at our sole discretion.

5. Intellectual Property Rights

All intellectual property rights in the Platform, including its design, software, databases, text, audio, video, graphics, logos, and trademarks, are owned by or licensed to Sophy Music LLC and are protected by U.S. and international intellectual property laws. Users retain ownership of their original musical works but grant Sophy Music a non-exclusive, worldwide, royalty-free license to distribute, reproduce, and monetize their content in accordance with the separate executed Distribution Agreement or Service Terms.

6. Payments and Royalties

Royalties earned through the Platform will be credited to your account according to the reporting and payment schedules defined in our Distribution Agreement. Sophy Music reserves the right to withhold or offset payments in cases of suspected fraud, copyright infringement, or violation of these Terms.

7. Prohibited Uses

You agree not to use the Platform for any illegal or prohibited purpose, including but not limited to: uploading content that infringes third-party rights; submitting fraudulent, deceptive, or infringing material; circumventing technological protections; or engaging in activities that harm the integrity or security of the Platform.

8. Termination

Sophy Music may, at its sole discretion, suspend or terminate your access to the Platform at any time without notice, including if you breach these Terms. Upon termination, any rights granted to you herein will immediately cease.

9. Disclaimer of Warranties

The Platform and all services are provided "as is" and "as available" without warranties of any kind, whether express or implied. Sophy Music disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, Sophy Music LLC, its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of or inability to use the Platform. Our total liability for any claims shall not exceed the amount you paid to Sophy Music in the preceding twelve (12) months.

11. Indemnification

You agree to indemnify, defend, and hold harmless Sophy Music LLC, its affiliates, and their respective officers, directors, and employees from all claims, damages, losses, and expenses arising from your use of the Platform or violation of these Terms.

12. Governing Law and Jurisdiction

These Terms shall be governed by the laws of the State of New Mexico, USA. You agree that any legal action shall be brought exclusively in the federal or state courts located in Curry County, New Mexico.

13. Changes to These Terms

Sophy Music reserves the right to modify or update these Terms at any time. The updated version will be posted on our website with the revised effective date. Your continued use of the Platform after the changes become effective constitutes acceptance of the updated Terms.
